Rebuild the 340 or replace

I have been told that the 340 will need to be rebuilt soon lots of sludge and metal in the oil pan also main seal is leaking score marks are present So was thinking of just replacing it with a modern 350 the transmission is not original it is a 3 speed not the 2 speed any suggestions was told around 6 / 7 G's Canadian to rebuild
 
Also looking at replacing the Carter 4bbl any suggestions or have it rebuilt
 
Rebuild and put a modern 5 speed trans behind it. I watched a four part series on youtube of the 5 speed conversion and it was real slick. Go to '1949 Buick Straight eight 5 speed conversion' on Jonathan W channel. I am assuming the 340 is a straight 8. I don't know the old Buick engines well. I don't even know my modern v-6 well.
 
Where are you located in Canada? I would find a Buick 350 with quadrajet as Ted said bolt right in. I have seen Buick engines on Kijiji.
